Nonprofit Terms of Service: Wag Community Shares Program

DonateStock, Inc., a Delaware corporation (referred to throughout as "us", "we", "our", etc.) is the owner and operator of the donatestock.com website, an online fundraising platform for use by nonprofit organizations that comply with 501(c)(3) of the Internal Revenue Code (each, an “NPO”) to facilitate the donation of equity securities publicly traded in the United States (“Stock” or “Shares of Stock”) by entities seeking to validly donate Stock to you (each, a “Donor”).

Wag! Group Co. (Wag or the Company), a Delaware Corporation has introduced the Wag Community Shares Program in which Wag is allocating up to 150,000 shares of stock (NASDAQ: PET) to be sold and distributed as charitable grants to the first 500 eligible pet shelters, rescue and adoption organizations to complete the qualification process.

These Terms of Service apply to the donatestock.com website, any subdomains thereof, any API integrations or widgets we offer, and any other website or webpages we own or operate that include a link to these Terms of Service (together collectively referred to as the "Website"). Any NPO that accesses, uses, or registers with the Website (such party referred to throughout as "you", "your", etc.) agrees to be contractually bound by these Terms of Service (as amended from time to time, the "Terms"). Your use of the Website, or any of the services or features accessible therein, constitutes your acceptance of the Terms. If you do not wish to adhere to the Terms, then you should immediately discontinue using the Website.

How the Program Works

NPOs are eligible to apply if they are either rated by Charity Navigator or are by a supporter at https://donatestock.com/suggest-pet-nonprofit

Nominated NPOs will be contacted via email with instructions to Opt-In to the program at https://donatestock.com/pet-nonprofit-opt-in

After Opting-In to the program, NPOs are contacted via email with instructions to qualify for an opportunity to receive a grant. To qualify a Nonprofit:

  • Must be registered as a 501(c)(3) in good standing with the IRS
  • Must claim its free stock gifting page at Donatestock.com (to search for page visit https://donatestock.com/donate
  • Must complete the NPO registration process and execute terms of service
  • Must agree to implement a DonateStock button or link on the NPO’s Home page or Donate web page. The assets are available in the NPO’s portal at https://donatestock.com/nonprofit/edit/marketing
  • Will be asked to implement a hot-linked Wag Community Partners image (also available at https://donatestock.com/nonprofit/edit/marketing) on the NPO’s website. If this is not possible, the NPO can distribute a media release, blog post or news article announcing it’s being selected to receive a grant.
  • Confirms that all steps have been completed on the Nonprofit Completion Page at https://donatestock.com/wag-confirm

After the qualification steps are completed, the submission will be reviewed and the NPO will be contacted within 10 business days. Once confirmed, the NPO will be notified that they have qualified for an opportunity to receive a grant.

Grant Payments

The amount of each grant is to be determined by DonateStock based: 1) the value of gross proceeds received from the sale of the 150,000 shares of Wag stock and 2) the number of Qualified NPOs (up to 500). The gross proceeds, less a 3% transaction fee, will be divided by the number of qualified NPOs to calculate the value of each grant, with a maximum grant of $3,000 per NPO.

Payments are to be sent via ACH using information provided by each NPO in the registration process on a semi-monthly basis. If the NPO qualifies before the 15th of the month, payment will be sent on the last day of the month. If the NPO qualifies before the 1st of each month, payments will be sent on the 15th.

Reporting and Marketing

DonateStock will publish the list of Recipients when the program concludes. The name and URL for participating nonprofits may be published by Wag and DonateStock and may be included in marketing announcements and materials. Your contact information may be stored and used for marketing purposes by Wag and DonateStock, subject to each company’s privacy policy.

Key Dates

  • Nominations for NPOs to receive grants will end September 30, 2022.
  • Nominated NPOs will have until October 9, 2022 to Opt-In.
  • Participating NPOs will have until October 31, 2022 to complete the steps to qualify for a grant.
  • DonateStock reserves the right to extend deadlines if needed.
